END USER LICENSE AGREEMENT
Spot Color Supply Order Sync

1. ACCEPTANCE OF TERMS
By accessing or using the Spot Color Supply Order Sync application ("Application"), you agree to be bound by this End User License Agreement ("Agreement"). If you do not agree to these terms, do not use the Application.
2. DESCRIPTION OF THE APPLICATION
2.1 The Application is an internal business automation tool developed and operated by Spot Color Supply for the sole purpose of synchronizing order data from Spot Color Supply’s Shopify storefront to QuickBooks Online.
2.2 The Application automatically creates QuickBooks Online invoices corresponding to orders placed on Spot Color Supply’s Shopify store, and performs customer lookup and creation as needed to associate invoices with the correct customer records.
2.3 The Application is not a consumer-facing product. It operates exclusively on Spot Color Supply’s backend infrastructure and is not distributed to or used by end customers.
3. LICENSE GRANT
3.1 Subject to the terms of this Agreement, Spot Color Supply grants itself a limited, non-exclusive, non-transferable license to use the Application solely for internal business operations.
3.2 This license does not permit sublicensing, resale, or distribution of the Application or any component thereof to any third party.
3.3 The Application may not be used for any purpose other than the synchronization of Spot Color Supply’s own Shopify orders to its own QuickBooks Online account.
4. QUICKBOOKS DATA ACCESS
4.1 The Application connects to QuickBooks Online via the Intuit Developer API using OAuth 2.0 authorization.
4.2 The Application accesses the following QuickBooks Online data:
– Customer records (read and create)
– Invoice records (read and create)
4.3 Data access is limited to the minimum necessary to perform the order-to-invoice synchronization function. The Application does not access payroll data, banking data, tax records, or any other QuickBooks data outside the scope described in Section 4.2.
4.4 All API interactions comply with Intuit’s API usage policies and rate limits.
5. DATA PRIVACY
5.1 The Application processes order and customer data solely for the purpose of creating corresponding invoices in QuickBooks Online.
5.2 No customer data accessed through the Application is sold, rented, shared, or disclosed to any third party for any purpose.
5.3 Data transmitted between the Application and QuickBooks Online is secured via HTTPS/TLS encryption.
5.4 The Application does not store QuickBooks customer or invoice data beyond what is necessary to complete each synchronization operation.
5.5 Spot Color Supply complies with applicable data protection laws in its handling of customer information.
6. USER OBLIGATIONS
6.1 Spot Color Supply agrees to maintain the security of all API credentials, OAuth tokens, and access keys associated with the Application.
6.2 Spot Color Supply agrees to use the Application in compliance with Intuit’s Terms of Service, Developer Agreement, and applicable QuickBooks Online policies.
6.3 Spot Color Supply agrees not to use the Application in any manner that violates applicable local, state, federal, or international law.
6.4 Spot Color Supply agrees to promptly revoke Application access to QuickBooks Online in the event of a suspected security breach or unauthorized access.
7. INTELLECTUAL PROPERTY
7.1 The Application and all associated software, code, and documentation are the proprietary property of Spot Color Supply.
7.2 Nothing in this Agreement transfers any intellectual property rights to any third party.
7.3 Intuit, QuickBooks, and related marks are trademarks of Intuit Inc. Their use in connection with this Application does not imply endorsement or affiliation.
8. DISCLAIMER OF WARRANTIES
THE APPLICATION IS PROVIDED “AS IS” WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. SPOT COLOR SUPPLY DOES NOT WARRANT THAT THE APPLICATION WILL BE ERROR-FREE OR UNINTERRUPTED.
9. LIMITATION OF LIABILITY
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SPOT COLOR SUPPLY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO THE USE OR INABILITY TO USE THE APPLICATION, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
10. TERMINATION
10.1 This Agreement remains in effect until terminated.
10.2 Spot Color Supply may terminate use of the Application at any time by revoking the Application’s access to QuickBooks Online and ceasing operation of the Application.
10.3 Upon termination, all rights granted under this Agreement cease immediately.
11. GOVERNING LAW
This Agreement shall be governed by and construed in accordance with the laws of the State of Georgia, United States, without regard to its conflict of law provisions. Any disputes arising under this Agreement shall be subject to the exclusive jurisdiction of the courts located in Georgia.
